1. Acceptance of Terms
By accessing or using Datologist ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.
2. Description of Service
Datologist is an AI-powered data query service that allows users to connect SQL databases and ask questions in natural language. The Service generates read-only SQL queries, executes them against your connected databases, and returns results with natural language explanations.
3. Account Registration
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, complete information during registration and to keep your information up to date. You must notify us immediately of any unauthorized use of your account.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to circumvent the read-only query restrictions or execute write operations through the Service
- Connect databases containing data you do not have authorization to access or query
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service to compete with Datologist or to build a similar product
- Resell, sublicense, or redistribute access to the Service without our written consent
- Exceed your plan's token limits through automated or scripted access without prior authorization
- Transmit any malicious code, viruses, or harmful content through the Service
5. Subscription and Billing
Plans and Pricing
The Service is offered through subscription plans (Basic, Pro, and Supreme) with features and pricing as described on our pricing page. We reserve the right to modify pricing with 30 days' notice to active subscribers.
Billing Cycle
Subscriptions are billed monthly in advance. Your billing cycle begins on the date you subscribe and renews automatically each month unless cancelled. Pay-as-you-go overage charges (where applicable) are billed at the end of each billing cycle.
Free Trial
New Basic plan subscribers receive a 7-day trial period. A valid payment method is required at signup; you will not be charged until the trial period ends. You may cancel at any time during the trial.
Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months. Upon cancellation, your access continues until the end of the paid period, after which your account transitions to a limited state.
6. Data Processing
By connecting a database to the Service, you represent and warrant that:
- You have the legal right and authorization to connect the database and access its data
- The data in the database does not violate any applicable laws, regulations, or third-party rights
- You have obtained any necessary consents for the processing of personal data contained in the database
We process data in accordance with our Privacy Policy. We act as a data processor on your behalf and will process your data only as necessary to provide the Service.
7. Intellectual Property
The Service, including its software, design, trademarks, and documentation, is owned by Datologist and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service during your subscription period. You retain all rights to your data and the queries you create through the Service.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
- WE DO NOT WARRANT THAT AI-GENERATED QUERIES OR RESULTS WILL BE ACCURATE, COMPLETE, OR ERROR-FREE
- IN NO EVENT SHALL DATOLOGIST BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM
You acknowledge that AI-generated SQL queries should be reviewed before relying on their results for critical business decisions. Datologist is not responsible for decisions made based on query results.
9. Indemnification
You agree to indemnify and hold harmless Datologist from any claims, losses, or damages arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
10. Service Availability
We aim to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by factors beyond our control, including third-party service outages, network issues, or force majeure events.
11. Termination
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or use the Service in a way that threatens the security or integrity of the Service or other users. We will provide notice before termination except in cases requiring immediate action. Upon termination, your right to use the Service ceases immediately.
12. Modifications to Terms
We may modify these Terms at any time. Material changes will be communicated via email or through the Service with at least 30 days' notice. Your continued use of the Service after the effective date of modified Terms constitutes acceptance. If you do not agree to the modified Terms, you must cancel your subscription before the effective date.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in Delaware.
